MEMBERSHIP AGREEMENT

1.Parties

This Buyer Membership Agreement ("Buyer Agreement") is made between the Buyer who is a member on the Website at Yenibosna Merkez Mahallesi Değirmenbahçe Caddesi No:34 ZK:03 Starcity Shopping Center BAHÇELİEVLER / ISTANBUL, and Nefelistore, the provider of services on the Website. It aims to determine the terms and conditions for the use of the services offered by Nefelistore on the Website by the "Buyer," and to establish the rights and obligations of the parties accordingly. The Buyer acknowledges that they have read the entire Buyer Agreement, fully understand its content, and approve all its provisions.

2.Definitions

Service/Services: Applications provided by "Nefelistore" to enable "Buyer" members to perform the transactions and processes defined in this agreement.

User/Users: Real and legal persons accessing the Website.

Website: The website where "Nefelistore" offers the "Services" specified in this agreement, accessible through the domain name www.nefelistore.com and subdomains.

Member/Members: Real and legal persons who become members of the Website and benefit from the content, applications, and "Services" on the Website.

Buyer: A real or legal person who purchases goods and/or services offered for sale by the "Seller" on the Website, a "Member."

Virtual Store: A section where "Sellers" can publish advertisements for multiple goods and/or services they provide, with the ability to have separate listings and other features determined by "Nefelistore," as specified in the relevant section of the Website and provided as a "Service" on the Website.

Member Page: A page accessible only by the "Buyer" with a username and password determined by the "Buyer," where they can perform necessary transactions to benefit from various applications and "Services" on the Website, enter personal information, and provide information requested on an application basis.

3.SUBJECT AND SCOPE OF THE AGREEMENT

The subject of this agreement is to determine the terms and conditions for the "Buyer" to benefit from the services offered by "Nefelistore" on the Website, and to establish the rights and obligations of the parties accordingly. The scope of this agreement is to determine the terms and conditions for all "Services," applications, and content on the Website, and it will be accepted as an integral part of this agreement for all statements made by "Nefelistore" on the Website regarding "Services," usage, content, applications, all "Members," and users. By accepting this agreement, the "Buyer" also acknowledges, declares, and undertakes that they accept any statements made by "Nefelistore" on the Website and those that will be made regarding "Services," usage, content, applications, "Members," and users.

4.Rights and Obligations

4.1. In order to acquire the status of "Buyer," the "User" who wishes to become a "Buyer" must approve the Nefelistore User Agreement, fill out the membership form with accurate information as requested in the membership form on the Website, and have the membership application evaluated and approved by "Nefelistore." If the "User" wishing to become a member is a real person, they must be at least 18 years old. The status of "Buyer" commences upon the completion of the approval process and notification to the "Buyer," and thus, the "Buyer" gains the rights and obligations specified in this agreement and in the relevant sections of the Website. The "User" is solely responsible for any damages that may arise from providing incorrect information or failing to fulfill the membership conditions truthfully. The rights and obligations of "Buyer" status arise solely on the person who applied for "Buyer" status, and the "Buyer" cannot transfer these rights and obligations, either partially or entirely, to any third party. In case of a dispute regarding the ownership of the rights and obligations of "Buyer" status and a request from the concerned parties to "Nefelistore," "Nefelistore" will accept that the real or legal person who last made a payment to "Nefelistore" using the relevant membership account has the rights and obligations of the "Buyer" for any "Service." In such a situation, "Nefelistore" reserves the right to act independently of the rule stated in this clause concerning membership information, member transactions, and similar information.

4.2. The "Buyer" acknowledges and declares that if they intend to initiate any legal transaction or purchase process related to the advertisements viewed on the Website, including those on the Website, they must fulfill all necessary legal obligations and procedures, and that "Nefelistore" has no information or responsibility regarding these obligations and procedures.

4.4. The "Buyer" undertakes that the information, content, and advertisements uploaded to the Website by themselves are accurate and lawful. The "Buyer" further assures that such information and content will not possess any characteristics contrary to law or morality, including but not limited to defamation, derogatory statements, damaging reputation, insult, defamation, threat, or harassment. The "Buyer" also acknowledges and commits that the information and content they upload to the Website will not create any legal violation, will not infringe on rights, and that the publication of such advertisements and content on the Website, as well as the sale and display of the goods and services specified in the advertisements, do not violate any applicable legislation. The "Buyer" affirms that they have all the rights and authorizations for the publication, offering for sale, and sale of the relevant goods and services on the internet.

4.5. While acting as a "Buyer," "Member," or "User" on the Website, the "Buyer" declares that they will act in accordance with the provisions of this agreement, all terms and conditions specified on the Website, current legislation, and ethical rules in transactions and correspondences conducted on the Website. The "Buyer" acknowledges that they are obliged to fulfill the measures and procedures required by legislation regarding advertising, selling, taxpayer status, or similar qualifications in all transactions carried out by themselves on the Website. The "Buyer" declares that they understand and accept these rules and conditions. The legal and criminal responsibility for every transaction and action performed by the "Buyer" on the Website is solely theirs.

4.6. "Nefelistore" will share the information it has about the "Buyer" with the relevant competent authorities in case of a request from authorized agencies in accordance with the current legislation. This information may be transmitted to other users involved in the dispute, limited solely to the extent necessary for them to exercise their legal rights, in order to resolve disputes between members.

4.7. The username and password information required by the "Buyer" to access the "Buyer Member Profile Page" and perform certain transactions on the Website is created by the "Buyer." The security and confidentiality of this information are entirely the responsibility of the "Buyer." The "Buyer" acknowledges, declares, and undertakes that transactions performed with their username and password are considered to be carried out by themselves, and they assume full responsibility for any liabilities arising from these transactions. The "Buyer" agrees that they will not raise any objections or disputes claiming that they did not perform these transactions and will not refrain from fulfilling their obligations based on such objections or disputes.

4.8. "Nefelistore" does not permit or consent to any unlawful use of the Website, especially in the following scope, and expressly prohibits:

• Using the "Website" to create, control, update, modify, or change a database, record, or directory belonging to itself, the "Buyer," or a third party;

• Using the "Website" with the intention of breaking, altering, or reverse engineering the whole or any part of it;

• Conducting transactions using false information or using the information of another user, creating user accounts with untrue personal information, residence address, email address, contact, payment, and account information, and using these accounts in violation of the terms of use or membership agreement and its annexes, or beyond their scope, unauthorized use of another user's account, acting on behalf of or participating in transactions under another person's name or creating an account,

• Using the Website for any illegal or fraudulent purpose,

• Unauthorized use, copying, modification, transmission, replacement, or use without permission of any content that is copyrighted, legally protected, or belongs to the "Website" or a third party, including personal privacy and broadcasting rights, either in whole or in part.

• Manipulating the price of any transaction or interfering with the transactions of other users;

• Using comment and rating systems for purposes outside the scope and intended use of the Website (such as publishing comments from the Website outside the Website);

• Spreading chain letters or unwanted emails (spam);

• Spreading any other technology harmful to viruses or the Website, the Website's database, or any content on the Website;

• Collecting any information about users, including email addresses, without their permission;

• Placing an unreasonable or disproportionately large load on the communications and technical systems determined by the Website...

• Using automated programs, robots, web crawlers, spiders, data mining, data crawling, or any other "screen scraping" software or systems on the Website without the prior written permission of "Nefelistore," and copying, publishing, or using any content on the Website in whole or in part without authorization.

4.9. "Nefelistore" declares that the use of the Website and its content outside the limits defined by this agreement is unlawful, and "Nefelistore" reserves its relevant rights for requests, legal actions, and follow-ups.

4.9. "Nefelistore" may use, store, and share the "Member/Personal" information declared by the "Buyer" on the Website, in accordance with the Privacy Policy, to fulfill the obligations determined by this agreement and to perform the applications required for the operation of the Website, as well as for statistical evaluations, advertising, marketing, and other commercial communication activities on behalf of itself or its business partners. The "Buyer" acknowledges and declares that they consent to the use and storage of their information by "Nefelistore" in this way. "Nefelistore" will take all necessary precautions for the secure storage of this information. The "Buyer" will have the right to make changes to their personal information at any time. However, the "Buyer" allows the sharing of their information with all Nefelistore subsidiaries for the purpose of offering specific advantages, sales, marketing, and similar communication activities (for detailed information about Nefelistore subsidiaries; www.nefelistore.com).

4.10. The "Buyer" acknowledges, declares, and undertakes that they have taken all necessary precautions (including using necessary antivirus software) to ensure that any information, content, material, or data provided by themselves to the Website does not contain materials that may harm the Website or any part of it, such as viruses, spyware, malicious software, Trojan horses, etc.

4.11. The "Buyer" acknowledges, declares, and undertakes that, in accordance with Articles 10 and 11 of Law No. 6698 on the Protection of Personal Data, they can contact [email protected] to obtain information about their rights and use their rights. The "Buyer" is informed, declares, and undertakes that they have the rights to learn whether their personal data is processed, request information about the processing of their personal data, learn the purpose of processing and whether it is used in accordance with its purpose, know the third parties to whom their personal data is transferred, request correction if their personal data is incomplete or incorrectly processed, request the deletion or destruction of their personal data if the reasons requiring processing cease to exist, request that the correction or deletion of their personal data be notified to the third parties to whom the personal data has been transferred within the scope of the relevant law, object to the emergence of a result against them by objecting to the processing of their personal data exclusively through automated systems, and request the remedy of damages in case of suffering damage due to the unlawful processing of personal data by the Seller, and that they have been informed by the Seller with this membership agreement.

5.INTELLECTUAL PROPERTY RIGHTS

The Buyer cannot resell, share, distribute, display, reproduce, create derivative works from, or prepare works based on the services offered through the Website, Nefelistore information, and works subject to Nefelistore's copyrights, or allow others to access or use these services. Otherwise, they will be responsible for covering any damages claimed from Nefelistore, including but not limited to licensors, and court costs and attorney's fees, as well as any other liabilities incurred by third parties.

Nefelistore reserves all property, real and personal rights, commercial information, and know-how, including all intellectual and material property rights it possesses through the Website, Nefelistore services, Nefelistore information, copyrighted works of Nefelistore, trademarks of Nefelistore, and the commercial appearance of Nefelistore.

6.CHANGES TO THE AGREEMENT

"Nefelistore" may unilaterally and at its sole discretion change this agreement at any time by announcing it on the Website. The amended provisions of this agreement will come into effect on the date they are announced, while the remaining provisions will continue to be in effect as they are. This agreement cannot be modified by the unilateral statements of the Buyer.

7.FORCE MAJEURE

In all cases legally considered as force majeure, Nefelistore is not responsible for any delay or incomplete performance of any obligation determined by this Agreement or failure to perform it. In cases of force majeure, delay, incomplete performance, or failure to perform will not be deemed, and the Buyer cannot claim compensation from Nefelistore under any name. The term force majeure will be interpreted as events beyond the reasonable control of Nefelistore, including but not limited to natural disasters, rebellion, war, strikes, cyber-attacks, communication problems, infrastructure and internet failures, malfunctions that may occur due to system improvement or upgrade work, electricity outage, and adverse weather conditions, even though they take necessary precautions.

8.APPLICABLE LAW AND JURISDICTION

Turkish Law will apply in the implementation, interpretation, and management of legal relations arising from this agreement. Istanbul Central Courts and Execution Offices are authorized to settle any disputes that may arise from or in connection with this agreement.

9.VALIDITY OF NEFELISTORE RECORDS

The Buyer acknowledges, declares, and undertakes that in disputes arising from this agreement, the electronic and system records, commercial records, ledger records, microfilm, microfiche, and computer records kept by Nefelistore in its database and servers will be valid, binding, conclusive evidence, and that Nefelistore has been released from the oath of evidence since offering this provision. The Buyer further acknowledges that this article has the nature of an evidentiary contract within the meaning of HMK Article 193.

10.INTEGRITY

The invalidity, unlawfulness, or unenforceability of any provision of this agreement or any expression in the agreement will not affect the validity and enforceability of the remaining provisions of the agreement.

11.NOTIFICATION

Buyers will communicate through the email they provided during registration or through the general notification tool on the Website. Communication via email replaces written communication. It is the responsibility of the Buyer to keep the email address up to date and regularly check the Website for notifications.

As of the Buyer's Membership date, by electronically approving this agreement, the Buyer acknowledges, declares, and undertakes to abide by the terms of the agreement throughout the membership period.
